1. About Biddexis
Biddexis (the "Service") is an AI-assisted tender drafting application operated by Novidex Technologies S.R.L., a Romanian limited liability company registered in Bucharest, Romania ("Biddexis", "we", "us", "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Nature of the Service — Drafting Assistant Only
Biddexis is a drafting assistant, not a decision-maker, evaluator, advisor, or substitute for human professional judgment. Specifically, Biddexis:
- · Extracts requirements from tender documents you upload
- · Generates draft text for your review
- · Performs structured analysis (compliance checks, coverage analysis, scoring)
Biddexis does NOT:
- · Submit bids on your behalf
- · Predict tender outcomes
- · Provide legal, financial, or procurement advice
- · Evaluate bids or score competitors
- · Make decisions affecting you, your company, or third parties
3. Human-in-the-Loop Responsibility
You are solely responsible for every output that leaves the Service. Before submitting any AI-generated content to a procurement authority or third party, you must:
- · Review every AI-generated response in full
- · Verify all factual claims, numbers, dates, names, and references against your authoritative sources
- · Edit any output that is inaccurate, incomplete, or unsuitable
- · Validate compliance with the tender's specific requirements, formatting rules, and legal obligations applicable to your industry and jurisdiction
- · Approve the final document before export
By using the Service, you acknowledge that AI-generated content is a draft requiring your professional judgment. You are the bidder of record for every submission and bear all responsibility for its content, accuracy, and compliance.
4. AI Output — No Warranty of Accuracy
The Service uses large language models (LLMs) operated by Anthropic. AI models can produce content that is:
- · Factually incorrect or fabricated (commonly known as "hallucination")
- · Outdated relative to current regulations, standards, or facts
- · Misaligned with your actual capabilities, projects, or team
- · Non-compliant with specific tender requirements you may have overlooked
- · Biased due to limitations of the underlying training data
The Service is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of accuracy, completeness, fitness for a particular purpose, or non-infringement.
You acknowledge that AI-generated content must be independently verified before use in any commercial, legal, or procurement context.
5. EU AI Act Classification
Biddexis is classified as a limited-risk AI system under Regulation (EU) 2024/1689 (the EU AI Act). Specifically:
- · Biddexis is a generative AI system that produces text content for human review
- · Biddexis is NOT a high-risk AI system under Annex III of the Regulation
- · Biddexis does not engage in any prohibited practice under Article 5
- · Biddexis complies with Article 50 transparency obligations: users are informed they are interacting with AI, and AI-generated documents include a transparency disclosure

6. User Account and Eligibility
You must be at least 18 years old and legally authorized to enter into contracts on behalf of any company you represent. You are responsible for:
- · Maintaining the confidentiality of your account credentials
- · All activity under your account
- · Providing accurate and current information
- · Promptly notifying us of any unauthorized access at security@biddexis.com
7. Acceptable Use
You agree not to:
- · Use the Service for any unlawful purpose or in violation of any applicable regulation
- · Upload tender documents you don't have rights to process
- · Submit fraudulent or misleading content to procurement authorities
- · Reverse engineer, scrape, or systematically extract data from the Service
- · Resell or redistribute Service output as your own product
- · Attempt to circumvent usage limits, feature gates, or security controls
- · Use the Service to develop a competing AI bid-writing product
8. Intellectual Property
Your content: You retain all rights to documents you upload, your company profile, and AI-generated drafts produced for your account. By using the Service, you grant us a limited license to process this content solely to provide the Service.
Our service: Biddexis, the Biddexis software, branding, and all related materials remain our exclusive property. These Terms grant you no ownership of or license to our intellectual property beyond the right to use the Service as intended.
9. Subscription, Billing, and Cancellation
- · The Free plan provides limited access at no cost
- · Paid plans (Professional, Agency) are billed monthly in advance
- · Subscriptions auto-renew until cancelled
- · You can cancel anytime from your account — cancellation takes effect at the end of the current billing period
- · Refunds are not provided for partial billing periods, except where required by EU consumer law
- · EU consumers have a 14-day right of withdrawal under Directive 2011/83/EU; by starting to use the Service immediately, you may waive this right for digital content already accessed
We may modify pricing with 30 days' notice. Existing subscriptions are honored at their original rate until renewal.
10. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the total fees you paid us in the 12 months preceding the claim, or (b) €100.
We are specifically not liable for:
- · Tender outcomes — including but not limited to lost bids, disqualifications, missed deadlines, scoring deductions, or unsuccessful submissions
- · Errors, inaccuracies, or omissions in AI-generated content
- · Decisions you make based on Service output
- · Lost profits, lost revenue, lost business opportunities, or lost data
- · Compliance failures with sector-specific or jurisdictional requirements
- · Indirect, incidental, special, consequential, or punitive damages
- · Service interruptions, downtime, or third-party service failures (Anthropic, Supabase, Vercel, Stripe)
Nothing in these Terms excludes liability that cannot be excluded under Romanian or EU law, including liability for gross negligence, wilful misconduct, or harm to consumer rights protected by mandatory provisions.
11. Indemnification
You agree to indemnify and hold us harmless from any claim, loss, or damage (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, your violation of applicable law, or any submission you make to a procurement authority based on Service output.
12. Privacy
Our handling of your personal data is governed by our Privacy Policy, which forms part of these Terms.
13. Suspension and Termination
We may suspend or terminate your account if:
- · You materially breach these Terms
- · Your account engages in suspicious or fraudulent activity
- · Required by law or court order
- · Continued service creates legal risk to us or other users
You may terminate your account at any time from your profile settings. On termination, your data is deleted within 30 days, except where retention is required by law.
14. Changes to These Terms
We may update these Terms. Material changes will be communicated by email and via in-application notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Romania, without regard to conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.
EU consumers retain all mandatory rights under their local consumer protection laws and may bring claims in their country of residence where local law permits. EU consumers may also use the European Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
